Consent to security
assignment.
Company, trustees and licensee have entered into an
agreement (called the "license agreement"),
In consideration of the execution of the purchase
agreement and the license agreement, the parties agree:
1. Licensee consents to the security assignment by
company and trustees to creditor of $_____ per year out of the sums payable on
April 1 of each year, commencing April 1, [year], to company, trustees or
either of them under the license agreement, in order to secure the payment of
amounts payable to creditor under the purchase agreement.
2. If payment of any amounts under the purchase
agreement is accelerated pursuant to its provisions, payment of the amounts
assigned to creditor shall be accelerated accordingly and licensee will pay the
amounts in advance directly to creditor.
3. If company or trustees receive notices of the
happening of an event which would accelerate the payment of the amounts due
under the purchase agreement, company and trustees shall immediately give
notice to licensee, and licensee may, but shall not be required to, take any
action necessary to prevent acceleration.
4. Licensee waives any and all defenses against
collection by creditor of the amounts assigned and will not assert any defense,
counterclaim or recoupment of any description that it may have against company
or trustees in any action of creditor to collect them.
5. As long as any of the amounts payable to creditor
under the purchase agreement are unpaid and outstanding, the license agreement
shall not be amended, changed or modified in any respect which will adversely
affect creditor, without the consent of creditor.
6. No further assignment or division of the rights of
creditor under the license agreement, however accomplished, shall be binding
upon licensee until receipt by licensee of notice signed by creditor or
creditor's duly qualified personal representative and all successors of
creditor stating the nature of the change or division and designating the
single person and address to which all future notices and payments may be
directed by licensee. No change or division shall operate to enlarge the
obligations or diminish the rights of licensee.
